Two Things Most Cyprus Formation Pages Still Get Wrong
If you have been reading around this topic, you have almost certainly been given at least one outdated figure. Both of these changed recently and most pages, including Google's own AI summary, have not caught up.
Corporate tax is 15%, not 12.5%
Cyprus raised corporate income tax from 12.5% to 15% with effect from 1 January 2026. The reform was voted on 22 December 2025 and published in the Official Gazette on 31 December 2025, aligning Cyprus with the OECD Pillar Two global minimum rate. Any provider still quoting 12.5% at you in 2026 is working from an old page. The offsetting change is at shareholder level: tax on dividends to individual shareholders fell from 17% to 5%, and deemed dividend distribution was abolished.
The EUR 350 annual levy no longer exists
The annual company levy of EUR 350, payable to the Registrar of Companies since 2011, was abolished by the Companies (Amendment) Law of 2024, which deleted section 391 of the principal law with effect from 2024 onward. It still appears as a recurring cost on a large number of formation pages and in several cost calculators. It should not be in your budget. Amounts for 2011–2023 remain due if they were never paid.
The practical consequence for you: on distributed profits a Cyprus Ltd owned by a Non-Dom resident still lands at an effective rate of roughly 5% — 15% at company level, then 0% income tax and 2.65% GHS on the dividend. The headline rate went up, the total you pay did not meaningfully change. Anyone who tells you the 15% rate "ruined" Cyprus has not run the second half of the calculation.
When a Cyprus Company Is the Wrong Answer
Every other page on this SERP is selling you an incorporation. Here is when we tell people not to do it, because a structure that collapses under audit in three years is worse than no structure.
- You are not moving, and neither is anyone who runs the company. A Cyprus company is tax resident where it is managed and controlled. If you keep making the decisions from Germany, Spain or the UK, your home country can and does claim the company. A nominee director who only signs papers does not fix this.
- Your clients are mostly in your current country and you are effectively an employee. Many tax authorities will look through the company and treat the income as yours personally.
- Your profit is under roughly EUR 40,000–50,000 a year. Between formation, mandatory audit, accounting and the registered office, the fixed cost eats the benefit. Self-employment in Cyprus is usually the better first step, and we will tell you so.
- You are a US citizen. A Cyprus Ltd is a controlled foreign corporation for US tax purposes and brings GILTI and Form 5471 obligations with it. It can still work, but never without US advice alongside.
